Refers to: Canada

Refers to Legacy Seeding Inc., operating the product Orthodontic Growth Infrastructure.

Device
Means any device capable of accessing the Service, including a computer, mobile phone, or tablet.

Service
Refers to the Orthodontic Growth Infrastructure platform, software, websites, and related services provided by the Company.

Terms and Conditions
(also referred to as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding use of the Service.

Third-Party Services
Means any third-party platforms or services integrated with or used in connection with the Service, including telephony, messaging, hosting, analytics, and AI providers.

Website
Refers to the Company’s website(s) through which the Service is offered.

You
Means the individual or legal entity accessing or using the Service, or the entity on whose behalf such individual is acting.


Acknowledgment

These Terms govern Your access to and use of the Service and constitute a binding agreement between You and the Company.

By accessing or using the Service, You agree to be bound by these Terms. If You do not agree with any part of these Terms, You may not access or use the Service.

You represent that You are at least 18 years of age and have authority to enter into this agreement on behalf of a business entity.

Your use of the Service is also conditioned on acceptance of the Company’s Privacy Policy, which is incorporated into these Terms by reference.


Nature of the Service (No Medical Services)

The Service provides business automation, communication, and operational infrastructure tools for orthodontic clinics.

The Service:

Is not a medical or dental device

Does not provide medical advice

Does not diagnose, treat, or recommend patient care

Does not replace professional clinical judgment

All clinical decisions remain the sole responsibility of licensed healthcare professionals.


Client Responsibilities & Legal Compliance

You are solely responsible for:

The accuracy, legality, and content of data You provide

Obtaining all required consents from patients and contacts

Compliance with applicable laws, including:

PIPEDA and Canadian privacy laws

Provincial health-information legislation

Canada’s Anti-Spam Legislation (CASL)

The Company acts solely as a service provider / data processor and does not control patient communications or consent collection.


SMS & Electronic Communications

The Service may enable or support SMS, voice, email, and other electronic communications on behalf of Clients.

By using these features, You acknowledge and agree that:

You are solely responsible for obtaining valid consent from recipients

You determine the purpose, timing, and content of messages

You will comply with CASL and applicable privacy laws

You will provide required opt-out mechanisms

Recipients may opt out of SMS communications by replying “STOP.”

The Company does not initiate SMS messages to end recipients for its own purposes and is not responsible for consent failures, message content, or regulatory violations arising from Client use of the Service.


Termination

The Company may suspend or terminate access to the Service immediately, without prior notice or liability, if You breach these Terms or use the Service unlawfully.

Upon termination, Your right to use the Service will cease immediately.


Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, appointments, or business opportunities.

The Company’s total liability shall not exceed the fees paid by You to the Company in the three (3) months preceding the event giving rise to the claim.


“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

The Company does not warrant uninterrupted service, error-free operation, or specific business outcomes.

Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to You.


Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Alberta, without regard to conflict-of-law rules.


Dispute Resolution

If You have any dispute or concern regarding the Service, You agree to first attempt to resolve the matter informally by contacting the Company.


Changes to These Terms and Conditions

The Company reserves the right to modify or replace these Terms at any time.

Material changes will be communicated where reasonably practicable. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
